Agreement Terms:
1. Scope and Levels of Agency
1.1 The Supplier grants the Agent the exclusive right to act as the distributor for its All-in-One PC products. The sales territory is categorized into National Agency, City Agency, Regional Agency, and Individual Agency.
1.2 Agent Levels and Sales Requirements:
- National Agency: Achieve total sales of 10,000 units or more.
- City Agency: Achieve total sales of 1,000 units or more.
- Regional Agency: Achieve total sales of 100 units or more.
- Individual Agency: Purchase a minimum of 10 units.
2. Brand Usage Rights and Product Supply
2.1 The Supplier grants the Agent the right to use its registered trademark “iishows” and related branding to promote and sell the All-in-One PC products.
2.2 The Agent shall procure goods from its superior agency (if applicable) to ensure product quality and sufficient supply.
3. Rights and Responsibilities of the Agent
3.1 The Agent is obligated to actively promote and sell the Supplier’s All-in-One PC products, maintaining and enhancing the brand image.
3.2 The Agent must comply with local laws and regulations, conducting sales activities with honesty, fairness, and compliance.
4. Pricing and Profit Distribution
4.1 The Agent has the right to determine the pricing of the All-in-One PC products based on market conditions, following the pricing guidelines provided by the Supplier.
4.2 Profit Distribution: After deducting costs from the sales revenue, the Agent will receive profits as agreed upon in the agreement with the Supplier.
5. Sales Support and Training
5.1 The Supplier will provide necessary sales support, training, and marketing materials to assist the Agent in enhancing sales capabilities.
5.2 The Agent should actively participate in training activities organized by the Supplier to acquire product knowledge and sales skills.
6. Termination of Cooperation
6.1 In case of severe breach of contract by either party, the other party has the right to terminate the cooperation agreement in advance.
6.2 After the termination of the cooperation, the Agent should cease using the Supplier’s brand and trademarks and should not engage in further related sales activities.
7. Confidentiality Clause
7.1 Both parties shall maintain the confidentiality of each other’s business information and trade secrets during the cooperation and after its termination, refraining from disclosing them to third parties.
8. Amendment and Interpretation of the Agreement
8.1 Any modification or supplementation of this agreement shall be made with the written consent and signature of both parties.
8.2 The interpretation of this agreement is vested in both parties.
